This study of the law of partnership is suitable both for those studying the subject at degree or professional level and for practitioners who need a readily available source of information on partnership law. It explains the essential characteristics of the subject, highlighting difficult and developing areas by reference to both the established and modern cases. These are taken from England and Scotland and also from the Commonwealth where partnership law has a similiar foundation. The book deals with the areas of formation, regulation and dissolution of partnership. It discusses the consequences of the existence of a partnership, not only to partners and salaried partners within the firm but also to those dealing with a firm or partner from outside. This second edition incorporates many changes, including those brought about by the Insolvency Act 1986 and the developments within the European Community. It also deals with the developments in case law relating in particular to partnerships at will, expulsion clauses, fiduciary duties and the salaried partner.
